Welcome to WB Technologies Inc. (“WB Technologies,” “we,” “our,” or “us”). WB Technologies is the parent company of Growcycle and Paydigo, and also provides technology, development, and marketing services to strategic partners. By accessing or using our websites, platforms, applications, and services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”).

 

1. Acceptance of Terms

By using our Services, you confirm that you are at least 18 years old, or the legal age of majority in your jurisdiction, and that you have read, understood, and agreed to these Terms. If you are using our Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

 

2. Services Overview

WB Technologies offers multiple products and solutions, including but not limited to:

  • Growcycle: A digital marketplace and service ecosystem connecting businesses and homeowners with lawn and garden product suppliers and service providers.
     

  • Paydigo: Intends to be an Independent Sales Organization (ISO) and payment processor providing merchants with tools for payment acceptance, invoicing, transaction settlement, and financial reporting.
     

  • Strategic Partner Services: WB Technologies provides additional solutions to select partners, which may include:
     

    • DevOps and cloud infrastructure management
       

    • Custom software development
       

    • API integrations and SaaS solutions
       

    • Digital marketing services, including search engine optimization (SEO), paid advertising, analytics, and content marketing
       

Use of these Services is governed by these Terms in addition to any product-specific agreements, service contracts, or statements of work provided at the time of engagement.

 

3. User Accounts

  • You are responsible for maintaining the confidentiality of your login credentials.
     

  • You agree to provide accurate, current, and complete information during registration or onboarding.
     

  • You are solely responsible for all activities conducted under your account.
     

WB Technologies reserves the right to suspend or terminate accounts or service access that violate these Terms.

 

4. Payments & Fees

  • Fees for Services provided by WB Technologies, Growcycle, Paydigo, or strategic partner engagements will be clearly communicated before you make a transaction or enter into an agreement.
     

  • For Paydigo merchant accounts, fees, interchange rates, and processing charges will be outlined in the applicable merchant processing agreement.
     

  • You authorize WB Technologies or Paydigo to process payments and applicable fees as described in invoices, contracts, or platform terms.
     

  • All sales and transactions are subject to applicable taxes.
     

 

5. Marketplace Transactions (Growcycle)

  • WB Technologies provides a platform for buyers and sellers but does not own, control, or guarantee the products or services listed on Growcycle.
     

  • Users are solely responsible for their interactions, contracts, and transactions with third parties on the platform.
     

  • WB Technologies is not liable for disputes, damages, or losses arising from user-to-user transactions.
     

 

6. Payment Processing (Paydigo as ISO)

  • Paydigo intends to operate as a registered Independent Sales Organization (ISO), providing merchants with the ability to accept credit card, debit card, ACH, and other electronic payments.
     

  • Merchants using Paydigo must enter into a Merchant Processing Agreement that outlines specific terms governing transactions, compliance, settlement, chargebacks, and risk management.
     

  • Paydigo may leverage banking relationships, sponsor banks, and payment networks to deliver processing services.
     

  • WB Technologies and Paydigo are not liable for losses resulting from fraud, chargebacks, or compliance violations unless otherwise required by applicable law.
     

 

7. Strategic Partner Services

  • WB Technologies may provide DevOps, software development, digital marketing, SEO, and related consulting services to strategic partners.
     

  • Deliverables, timelines, and performance metrics are governed by separate agreements (e.g., Master Service Agreements, Statements of Work, or Partner Contracts).
     

  • WB Technologies does not guarantee specific outcomes (e.g., search engine rankings, advertising ROI, or development performance) unless expressly stated in writing.
     

 

8. Acceptable Use

You agree not to:

  • Use the Services for unlawful purposes.
     

  • Upload or distribute harmful, fraudulent, or infringing content.
     

  • Attempt to interfere with the security or functionality of our systems.
     

  • Misuse the Services in ways that harm WB Technologies, Growcycle, Paydigo, or other partners and users.
     

 

9. Intellectual Property

  • All trademarks, service marks, logos, and content related to WB Technologies, Growcycle, and Paydigo are the property of WB Technologies, Inc., unless otherwise specified in a separate contract.
     

  • You may not reproduce, distribute, or create derivative works without prior written consent.
     

 

10. Disclaimer of Warranties

The Services are provided “as is” and “as available.” WB Technologies makes no warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee uninterrupted, secure, or error-free service.

 

11. Limitation of Liability

To the maximum extent permitted by law, WB Technologies and Paydigo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, marketing performance, payment disputes, or business opportunities.

 

12. Indemnification

You agree to indemnify and hold harmless WB Technologies, Paydigo, Growcycle, their affiliates, officers, employees, and agents from claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your participation in partner or merchant processing agreements.

 

13. Termination

We may suspend or terminate your access to the Services at any time, without notice, if you violate these Terms, breach any partner or merchant agreement, or engage in activities harmful to the integrity of our platforms or relationships.

 

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in courts located in Los Angeles County, California.

 

15. Changes to Terms

We reserve the right to update these Terms at any time. Updates will be posted on our website with a revised “Last Updated” date. Continued use of the Services after changes indicates your acceptance.
